Terms and Conditions

1. Mentoring Session Booking, Scheduling and Cancellation

1.1 Each mentoring session is a 60-minute Zoom call. Mentoring sessions are only conducted via Zoom, and no other video conferencing applications are supported.

1.2 Mentoring sessions are booked in blocks of 6, 12, or 24 sessions and will be scheduled directly with Stephanie.

1.3 Mentoring sessions will be scheduled every two weeks, on the same day and time unless otherwise agreed prior to booking. Any subsequent changes to the schedule must be mutually agreed upon.

1.4 Mentoring sessions must be started within 3 months of purchase and paid in full. Failure to schedule or attend the sessions within this period will result in forfeiture without a refund.

1.5 You will receive notes and a recording of the call within 48 hours after the call, except in cases of technical issues or unforeseen delays, in which case we will notify you of the revised delivery time.

1.6 If Stephanie needs to reschedule a mentoring session, she will provide at least 48 hours’ notice and offer an alternative date. In the event of rescheduling due to illness, Stephanie will provide as much notice as reasonably possible.

1.7 If you need to reschedule a mentoring session, you must do so at least 24 hours before the call time. Failure to do so will forfeit the call.

1.8 If you wish to cancel your mentoring sessions at any time, please provide written notice by email to hello@stephaniecarswell.co.uk. Refunds are not available except in extenuating circumstances, such as medical emergencies, which will be determined at Stephanie’s sole discretion.

2. Quick Fix Session Booking, Scheduling and Cancellation

2.1 Each Quick Fix session is a 90-minute Zoom call. Quick Fix sessions are only conducted via Zoom, and no other video conferencing applications are supported.

2.2 Quick Fix sessions are one-off sessions and can be scheduled using the link provided to our Calendly app.

2.3 Quick Fix sessions must be conducted within 3 months of purchase and paid in full. Failure to schedule or attend the session within this period will result in the forfeiture of the session without a refund.

2.4 You will receive notes and a recording of the call within 48 hours after the call, except in cases of technical issues or unforeseen delays, in which case we will notify you of the revised delivery time.

2.5 If Stephanie needs to reschedule a Quick Fix session, she will provide at least 48 hours’ notice and offer an alternative date. In the event of illness, Stephanie will provide as much notice as reasonably possible.

2.6 If you wish to cancel your Quick Fix session, you must do so at least 48 hours before the call time. You will then receive a full refund. Failure to cancel the session at least 48 hours in advance will result in forfeiture of the session and no refund will be issued unless Stephanie, at her sole discretion, determines that extenuating circumstances apply.

2.7 If you wish to reschedule your Quick Fix call, you must do so at least 24 hours before the call time. You can do this through your email confirmation. Any changes within 24 hours of the scheduled session must be communicated by email to hello@stephaniecarswell.co.uk with “URGENT” in the subject line.

3. Client Responsibilities

3.1 Clients are personally responsible for attending mentoring and Quick Fix sessions on time and being prepared with what they wish to discuss.

3.2 If you have technical issues, please send an email as soon as possible to hello@stephaniecarswell.co.uk to let Stephanie know you are going to be late.

3.3 If you are more than 10 minutes late to a call without prior notice, the session will be forfeited.

3.4 Clients are expected to fully commit to the sessions and actively participate.

3.5 If the client needs to make any changes to the sessions, scheduling, or anything else, it is their responsibility to inform Stephanie as soon as possible, taking into consideration the cancellation policy.

3.6 Stephanie is not responsible for any outcomes, financial or otherwise, resulting from decisions made by the client following the mentoring sessions. Clients acknowledge that any business decisions are made at their own risk.

4. Liability

4.1 To the fullest extent permitted by law, Stephanie shall not be liable for any direct, indirect, incidental, consequential, or punitive damages resulting from the implementation of advice or strategies discussed during mentoring sessions. 

5. Ongoing Support for Mentoring and Quick Fix Sessions

5.1 Clients receive ongoing support between mentoring sessions, for two weeks after the final mentoring session, and for one week after a Quick Fix call.

5.2 The amount of ongoing support offered is at the discretion and judgement of Stephanie, but will amount to no more than 1 hour a week, or 4 hours a month.

5.3 Ongoing support can be in the form of emails, WhatsApp messages, and voice messages, but not voice or video calls, or SMS texts.

5.4 The client agrees not to call or text Stephanie on her mobile device, and only use email or WhatsApp. Failure to comply with this may result in termination of ongoing support services without a refund.

5.5 Stephanie will endeavour to reply to all messages in the week within 24 hours and the next working day for messages at the weekend.

6. Materials

6.1 All materials, whether written, visual, or digital, shared during Mentoring or Quick Fix sessions, remain the copyright of Stephanie Carswell and/or Hawthorn Handmade Limited and are for personal, non-commercial use only unless express written consent is given.

6.2 You must not reproduce, distribute, or share materials without prior written consent.

7. Confidentiality

7.1 All information shared during Mentoring or Quick Fix sessions about the client and their business details will remain entirely confidential.

7.2 We will not disclose any personal or business-related details to third parties without your explicit consent, except where required by law or for the purposes of legal or financial advice.

7.3 If a client provides a testimonial, they do so with the expectation it can be shared across social media and online platforms.

7.4 During sessions, you may hear or see information that is confidential. You must respect the privacy of this information and not share it with any third parties.

8. Work Product Ownership

8.1 Any works copyrighted, ideas, discoveries, inventions, patents, or other intellectual property developed in connection with the services shall be the exclusive property of Stephanie Carswell unless otherwise agreed in writing.

9. Non-Disclosure and Non-Solicitation

9.1 Stephanie shall not directly or indirectly disclose to any person other than the client at any time, either during the term of this Agreement or following the termination or expiration thereof, any confidential or proprietary information pertaining to the client, including but not limited to customer lists, contacts, financial data, sales data, supply sources, business opportunities for new or developing business, plans and models, or trade secrets.

9.2 Furthermore, Stephanie agrees that during the term of this Agreement, and for 6 months following the termination of this Agreement, she shall not directly or indirectly solicit or attempt to solicit any customers or suppliers of the client other than on behalf of the client themselves.

10. Force Majeure

10.1 Neither party shall be liable for any delays or failure to perform any obligations under this Agreement due to causes beyond their reasonable control, including but not limited to acts of God, war, terrorism, strikes, or other labour disputes, riots, civil disturbances, government regulations, communication or utility failures, or casualties.

11. Jurisdiction

11.1 This Agreement is governed by the laws of England and Wales, and both parties submit to the exclusive jurisdiction of the courts of England and Wales.

12. Termination

12.1 Either party may terminate this Agreement with 30 days’ written notice. Upon termination, no refunds will be issued except in cases of extenuating circumstances, at Stephanie’s discretion.

13. Entire Agreement

13.1 This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, whether written or oral, regarding the subject matter hereof.

14. Data Protection and Privacy

14.1 We are committed to protecting your privacy and personal data in compliance with the General Data Protection Regulation (GDPR) and any other relevant data protection laws.

14.2 Any personal information shared during sessions will only be used for the purposes of delivering the services described in this Agreement.

14.3 We will not share your personal data with third parties without your explicit consent, except where required by law or for the purposes of legal or financial advice.

14.4 You have the right to request access to any personal data we hold about you, as well as the right to request its correction or deletion.

15. Intellectual Property Rights (Client Contributions)

15.1 Any intellectual property, including business plans, ideas, designs, or materials brought into the mentoring sessions by the client, remains the property of the client.

15.2 Stephanie does not claim ownership over any intellectual property or materials shared by the client, and these will be treated as confidential under Clause 7 unless otherwise agreed in writing.

16. Payment Terms

16.1 All payments must be made in full before the start of any Mentoring or Quick Fix sessions.

16.2 Payments can be made via credit/debit card, PayPal, Google Pay.

16.3 Failure to make payment on time may result in the cancellation of your booked sessions without a refund.

16.4 Stephanie reserves the right to charge interest on any overdue amounts at a rate of [insert rate] per annum from the due date until payment is received in full.

17. Dispute Resolution

17.1 In the event of a dispute arising from or relating to this Agreement, both parties agree to attempt to resolve the dispute through good faith negotiations.

17.2 If the dispute cannot be resolved through negotiation, the parties may, by mutual consent, seek to resolve the matter through mediation or another alternative dispute resolution mechanism.

17.3 If mediation or alternative dispute resolution is not successful, both parties reserve the right to pursue legal action in the courts of England and Wales.

18. Amendments

18.1 Stephanie reserves the right to amend or update these Terms and Conditions from time to time.

18.2 Clients will be notified of any material changes to these terms via email. Any changes will not affect bookings made before the amendment date unless both parties agree to the updated terms in writing.

19. Right to Refuse Service

19.1 Stephanie reserves the right to refuse service or terminate the Agreement at her sole discretion if the client engages in abusive, inappropriate, or unprofessional conduct, without any obligation to provide a refund.
